Terms & Conditions

1. Acceptance of Terms

By accessing or using www.siglos.us (the “Site”), its subdirectories (e.g., /accounting, /insurance, /advisory), or services provided by Siglos, Inc. or any of its divisions or subsidiaries or affiliates (“Siglos,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use our Site or services.

2. Eligibility

You represent that you are at least 18 years old and legally capable of entering into contracts. Our services are directed to business owners and professionals, not to children under 13.

3. Services Provided

Siglos offers accounting, insurance auditing, and business advisory services (the “Services”). The Site also provides educational materials, resources, and tools. Nothing on this Site constitutes legal, tax, or investment advice; decisions should be made in consultation with qualified professionals.

4. Use of Site

You agree not to:

  • Use the Site for unlawful, fraudulent, or harmful purposes.

  • Attempt to gain unauthorized access to systems or data.

  • Scrape, copy, or resell content without written permission.

  • Submit false, misleading, or incomplete information.

We reserve the right to suspend or terminate access for violations.

5. Client Relationships

Engagements for professional services are governed by separate written agreements (engagement letters, contracts). Using this Site or contacting us does not, by itself, create a client relationship.

6. Intellectual Property

All content, logos, graphics, and materials on the Site are the property of Siglos or its licensors and are protected under U.S. and international copyright, trademark, and trade secret laws. You may not use our intellectual property without express written consent.

7. Third-Party Services

We may use third-party platforms (e.g., CRM, payment processors, Google Analytics, cloud hosting, offshore contractors) to operate our business. Siglos is not responsible for third-party failures but takes reasonable steps to ensure they meet confidentiality and security obligations.

8. Confidentiality & Security

In the normal course of business, Siglos may handle confidential financial and personal information. We implement safeguards consistent with the New York SHIELD Act, GLBA, and industry standards. However, you acknowledge that no system is 100% secure, and Siglos disclaims liability for breaches beyond our reasonable control.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Siglos shall not be liable for indirect, incidental, or consequential damages, including lost profits.

  • Our total liability for any claim shall not exceed the amount paid to Siglos for the specific services giving rise to the claim in the 12 months preceding the event.

(See precedent: Carnival Cruise v. Shute, forum clauses enforceable; FTC v. Wyndham, “reasonable” security, not absolute guarantee.)

10. Disclaimer of Warranties

The Site and its content are provided “as is” without warranties of any kind, express or implied. We do not warrant that the Site will be error-free, uninterrupted, or free of harmful components.

11. Indemnification

You agree to indemnify and hold harmless Siglos, its affiliates, officers, employees, and contractors from any claims, damages, or expenses arising out of your use of the Site or Services, violation of these Terms, or violation of rights of third parties.

12. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in New York County, New York.

(*Precedent: forum selection upheld in Carnival Cruise Lines v. Shute.)

13. Dispute Resolution

We encourage informal resolution. If disputes arise, parties agree first to attempt good-faith negotiation. If unresolved, disputes may proceed to binding arbitration under the American Arbitration Association (AAA), unless you are a client with a separate engagement letter governing dispute resolution.

14. International Users

If you access our Site from outside the U.S., you consent to the transfer of your information to the United States and acknowledge that laws may differ from those in your jurisdiction.

15. Changes to Terms

We may update these Terms periodically. Continued use of the Site after changes indicates acceptance.
